Incorporating a company is like building a robot person.
In this article, we will explain how we build these robot persons—a.k.a. corporations—using our 6-step approach:
Step 1 – Collect Some Information
We ask you questions to collect the necessary information to build and program your robot. One of the most important questions is: Where do you want to Incorporate? You can get started right here.
Step 2 – Name Your Robot
Each robot person needs a unique name (or number). You first tell us what you want to call your robot person. Then we search a national database to see whether your desired name is in use by any other robot; if not, then we reserve it for you.
Step 3 – Build Your Robot!
We prepare the “Articles of Incorporation”. The Articles of Incorporation are submitted to the government where you choose to incorporate. The government then authorizes the creation of your robot person under its laws. When the government does that, it will issue a “Certificate of Incorporation”—with the Articles of Incorporation attached. The Certificate of Incorporation is like the Birth Certificate of your robot person.
Step 4 – Program Your Robot
Your robot person is born with some inherited programming—from the laws it is incorporated under and the Articles of Incorporation. But more needs to be done still. The robot person needs by-laws to dictate how it will deal with specific situations. And there needs to be a record of the human beings involved in the robot person’s life as its Directors, Officers, and Shareholders. This step is also referred to as “post-incorporation organizing”.
Step 5 – Create a Central Record For Your Robot
Every robot person needs a central set of records—think of it as their memory chip. The memory chip keeps track of when and where the robot person was formed, all the people that have been involved in its life, what decisions have been made in the past, and more. Creating these records is required by law and a great business practice for a corporation. For example, selling your robot will be much easier if you can show potential buyers a detailed record of the robot’s life—and essential if you need to borrow money to make improvements to your robot. This central set of records is typically referred to as a “Minute Book”, and the version that Tobuso provides is digital so that you can view it from anywhere.
Step 6 – Get Ready to Launch Your Robot!
Once all of the other steps are complete, we send you a message letting you know that your robot person is ready to get to work! We provide you with the digital Minute Book as well as a small operating manual. The operating manual lets you know that your robot person will need annual maintenance—like a tune-up for your robot. It also outlines when and how your robot will need to be reprogrammed.
